Agreement to Terms

By accessing or using our website at growbify.com, contacting us via our contact form, or engaging Growbify for any service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into these Terms on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

These Terms apply to all visitors, clients, and users of our website and services. We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.

Our Services

Growbify provides digital marketing services including but not limited to:

• Search Engine Optimisation (SEO) and Local SEO
• Pay-Per-Click (PPC) Advertising Management
• Social Media Marketing and Management
• Website Analytics and Tracking Setup
• Pixel Integration (Meta, Google, TikTok, Pinterest)
• WordPress and Shopify Web Design and Development
• Google Search Console Setup and Management
• Graphic Design and Video Editing
• TikTok Seller Center and Pinterest Merchant Center Setup

The specific scope, deliverables, timeline, and pricing for each engagement are agreed upon separately via a proposal, quote, or service agreement before work commences. These Terms apply to all services unless a separate written agreement expressly overrides them.

Client Responsibilities

To enable us to deliver our services effectively, you agree to the following responsibilities:

Provision of Information & Access

• Provide accurate, complete, and up-to-date information required for the delivery of services.
• Grant us necessary access to platforms, accounts, and tools required to perform agreed services (e.g. website admin, Google Ads account, Meta Business Manager).
• Respond to requests for feedback, approvals, and information in a timely manner.

Content & Materials

• You are responsible for ensuring that any content, images, logos, or materials you provide to us are owned by you or that you have the legal right to use them.
• You indemnify Growbify against any claims, losses, or damages arising from the use of materials you provide.

Lawful Use

• You agree not to use our services for any unlawful, misleading, fraudulent, or harmful purpose.
• You agree to comply with the terms of service and advertising policies of all platforms on which we manage campaigns on your behalf.

Payment Terms

Monthly Retainer Services

• Monthly services (SEO, PPC management, social media, etc.) are invoiced monthly in advance, due on or before the service start date.
• Services will commence upon receipt of cleared payment.
• Rolling monthly agreements — no minimum contract period unless otherwise agreed in writing.

One-Time Project Services

• One-time projects (web design, tracking setup, pixel integration, etc.) require a 50% deposit before work commences and the remaining 50% upon project completion prior to final file delivery.
• For projects over $1,000, payment milestones may be agreed upon in writing.

Ad Spend

• Ad spend (Google Ads budget, Meta Ads budget, etc.) is billed directly to the client's payment method by the respective platform. Growbify's management fee does not include ad spend.
• Growbify does not mark up ad spend or receive any commission from ad platforms on your budget.

Late Payments

• Invoices unpaid after 14 days may result in suspension of services until payment is received.
• We reserve the right to charge interest on overdue amounts at a rate of 2% per month on the outstanding balance.

Refund Policy

Monthly Services

Due to the nature of digital marketing services, monthly retainer fees are non-refundable once work has commenced for that billing period. If you choose to cancel, your service will continue until the end of the current paid month and will not automatically renew.

One-Time Projects

• The 50% deposit is non-refundable once work has commenced, as it covers the time and resources allocated to your project.
• If a project is cancelled by the client before work commences, a full refund of any deposit paid will be issued.
• If Growbify is unable to complete a project due to circumstances on our end, a proportional refund will be issued for uncompleted work.

Intellectual Property

Client-Owned Work

Upon receipt of full payment for a project, all final deliverables created specifically for you (logos, website designs, ad creatives, videos, etc.) become your property. You are free to use them as you wish.

Growbify's Intellectual Property

• All content on growbify.com — including text, graphics, logos, and code — is the property of Growbify and may not be reproduced without written permission.
• Our proprietary processes, strategies, and methodologies remain our intellectual property at all times.
• Work in progress (drafts, concepts, and intermediate files) remains the property of Growbify until full payment is received.

Portfolio Use

Unless you request otherwise in writing, we reserve the right to feature completed work in our portfolio, case studies, and marketing materials. We will never disclose confidential business information in such materials.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.

• Growbify will not disclose your confidential business information, strategies, data, or results to any third party without your written consent.
• We will not work with direct competitors in your specific niche while actively working on your account, unless otherwise agreed.
• Access credentials and sensitive account information shared with us will be stored securely and never shared with unauthorised parties.

Results & Disclaimers

Digital marketing involves a degree of uncertainty. While we apply our expertise and best practices to every engagement, we cannot and do not guarantee specific results, including but not limited to:

• Specific search engine rankings or positions
• Specific levels of website traffic, leads, or sales
• Specific return on ad spend (ROAS) or ROI figures
• Specific follower counts or engagement rates

Results are influenced by factors outside our control, including search engine algorithm changes, market conditions, competitor actions, platform policy changes, and the quality of your product or service offering.

Any statistics, case studies, or examples referenced in our marketing materials represent past results and are not a guarantee of future performance.

Limitation of Liability

To the maximum extent permitted by applicable law, Growbify shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
• Loss of profits, revenue, data, business opportunities, or goodwill.
• Actions or inactions of third-party platforms (Google, Meta, TikTok, etc.) including account suspensions, policy changes, or ad rejections.
• Disruption to services caused by factors beyond our reasonable control (force majeure).

In any event, our maximum aggregate liability to you shall not exceed the total fees paid by you to Growbify in the three (3) months preceding the event giving rise to the claim.

Termination

Termination by Client

• Monthly services may be cancelled at any time with written notice (email is sufficient). Cancellation takes effect at the end of the current paid billing period.
• No refund is issued for the current billing period upon cancellation.

Termination by Growbify

• We reserve the right to terminate services with 14 days' written notice for any reason, including non-payment, abusive behaviour, or a material breach of these Terms.
• In cases of serious breach (e.g. fraudulent activity, abusive conduct), we may terminate immediately without notice.

Upon Termination

• All completed and paid-for deliverables will be handed over to you.
• We will remove our access from your platforms and accounts upon request.
• Any outstanding invoices remain payable regardless of termination.

Third-Party Services & Platforms

Our services often involve working within third-party platforms including Google, Meta, TikTok, Pinterest, WordPress, Shopify, and others. Please note:

• We are not affiliated with, endorsed by, or officially partnered with any third-party platform unless explicitly stated.
• Third-party platforms may change their policies, algorithms, or features at any time. We are not responsible for the impact of such changes on your campaigns or results.
• Ad account or platform suspensions caused by third-party policy decisions are outside our control and do not constitute a failure of our services.
• You remain the owner of all your ad accounts, social media accounts, and websites at all times.

Website Use

By using growbify.com, you agree to the following:

• You will not use our website for any unlawful purpose or in any way that may cause harm to Growbify or third parties.
• You will not attempt to gain unauthorised access to any part of our website, servers, or systems.
• You will not scrape, reproduce, or republish any content from our website without written permission.
• Our website is provided "as is" and we make no warranties regarding its availability, accuracy, or fitness for a particular purpose.

Our website may contain links to third-party websites. We are not responsible for the content or privacy practices of those sites.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law. In the event of any dispute arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the matter amicably through direct communication.

If a dispute cannot be resolved informally within 30 days of written notice, the parties may pursue resolution through mediation or, if necessary, through the courts of the jurisdiction applicable to the client's location or as otherwise agreed in writing.

For international clients, disputes shall be resolved in a mutually agreed jurisdiction. We are committed to fair and transparent resolution of all disputes.

Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. When we make material changes, we will update the "Last Updated" date at the top of this page.

Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. If you disagree with any changes, you should discontinue use of our services.
